Direct Hire Staffing Agreement

(30-Day Guarantee — Fee Due After Successful Review)


Before entering into this Agreement, InnovaHire LLC and the Client acknowledge their shared commitment to establishing a long-term hiring partnership built on integrity, efficiency, and mutual success. This Agreement outlines the terms, guarantees, and mutual responsibilities that ensure every engagement results in a high-quality, lasting hire. Both parties agree that successful placements depend on transparency, communication, and accountability throughout the hiring process.

InnovaHire combines industry expertise with personalized service to make every hiring experience smooth and reliable. Our process minimizes administrative burdens while maximizing the quality and fit of each candidate introduced. This Agreement defines expectations clearly so that all parties can work in good faith toward the shared goal of securing exceptional talent that strengthens the Client’s organization for the long term.


1. Scope of Services

InnovaHire LLC (“Recruiter”) agrees to provide comprehensive direct-hire recruitment services to [Client] (“Client”), including sourcing, screening, and presenting qualified candidates for permanent employment. Recruiter will collaborate with Client’s hiring team to ensure each presented candidate aligns with the technical, cultural, and operational requirements of the position. This process emphasizes quality, transparency, and speed to help Client achieve its staffing goals efficiently.


2. Placement Fee

The placement fee is [20–25]% of the Candidate’s first-year base salary, unless otherwise agreed in writing. The fee becomes due only after the Candidate successfully completes thirty (30) consecutive days of continuous employment (the “Review Period”). During this time, the Client may evaluate the Candidate’s performance and organizational fit. If employment ends for any reason within that period, no placement fee will be owed. This approach ensures fairness and reinforces InnovaHire’s commitment to lasting, successful placements.

An invoice will be issued following the completion of the Review Period, with payment due within ten (10) business days. This schedule aligns financial accountability with verified performance results.


3. Guarantee & Replacement

If the Candidate’s employment ends within thirty (30) days after payment, Recruiter will provide one qualified replacement Candidate at no additional placement fee within sixty (60) days of written notice from the Client. “No additional cost” applies only to the placement fee; Client remains responsible for third-party expenses such as background checks, relocation, or onboarding costs. The replacement Candidate will be subject to a new thirty (30)-day review period beginning on their first day of employment. If the Client does not request a replacement within sixty (60) days, the guarantee will be considered fulfilled.

This guarantee reflects InnovaHire’s confidence in the quality of its placements and its commitment to providing measurable, long-term value.


4. Client Responsibilities

To ensure the success of the engagement, the Client agrees to:

  • Provide complete and accurate job descriptions, reporting structures, and compensation details.
  • Supply timely feedback on presented candidates and interview outcomes.
  • Notify Recruiter immediately when a Candidate is hired, terminated, or resigns.
  • Maintain open communication to facilitate smooth onboarding and placement tracking.
  • Pay all invoices within ten (10) business days of the 30-day review confirmation or as otherwise agreed in writing.

Failure to meet payment or communication obligations may delay replacements or suspend active recruitment efforts.


5. Candidate Ownership

Candidates referred by Recruiter remain proprietary for twelve (12) months from the referral date. If the Client hires that Candidate directly or indirectly during that period, Recruiter’s placement fee applies. This includes any employment relationship through the Client’s subsidiaries, affiliates, or related entities. Candidate introductions may include resumes, interview submissions, or documented referrals provided by Recruiter.

This clause protects the time, resources, and expertise invested in identifying qualified candidates.


6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all candidate, client, and business information exchanged during this Agreement. This includes resumes, compensation details, and any proprietary business insights shared throughout the recruitment process. Disclosure of such information to third parties without written consent from the originating party is prohibited, except when required by law.


7. Independent Contractor

Recruiter operates solely as an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, or joint venture between the parties. Each party remains responsible for its own employees, taxes, and liabilities. Recruiter is not authorized to bind the Client to any commitments beyond the scope of this Agreement.


8. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Maine, without regard to its conflict-of-law principles. In case of a dispute, both parties agree to first attempt resolution through communication and mediation before seeking legal action.


9. Entire Agreement

This document represents the complete understanding between InnovaHire LLC and the Client and supersedes all prior agreements, written or verbal. Both parties acknowledge that they have read, understood, and accepted the terms contained herein. Any changes or amendments must be made in writing and signed by authorized representatives of both parties.
